۱- کنفرانسی از وزیران مرکب از نمایندگان همه اعضا به وجود خواهد آمد که حداقل هر دو سال یکبار تشکیل جلسه خواهد داد. کنفرانس وزیران وظایف سازمان جهانی تجارت را انجام خواهد داد و اقدامات لازم بدین منظور را به عمل خواهد آورد. کنفرانس وزیران از این اختیار برخوردار خواهد بود که در صورت درخواست یک عضو، تصمیماتی را در خصوص همه مسائل مطرح در هریک از موافقت‌نامه‌های تجاری چندجانبه، منطبق با الزامات خاص تصمیم‌گیری در موافقت‌نامه حاضر و موافقت‌نامه تجاری چند جانبه مربوط، اتخاذ کند.
۲- شورایی عمومی مرکب از نمایندگان همه اعضا به وجود خواهد آمد که به نحو مقتضی تشکیل جلسه خواهد داد. وظایف کنفرانس وزیران در فاصله میان جلسات آن برعهده شورای عمومی خواهد بود. شورای عمومی همچنین وظایف محوله به موجب موافقت‌نامه حاضر را انجام خواهد داد. شورای عمومی قواعد آیین‌کار خود را تعیین و قواعد آیین کار کمیته‌های پیش‌بینی شده در بند ۷ را تصویب خواهد کرد.
۳- شورای عمومی برای ایفای مسئولیت‌های رکن حل اختلاف که در تفاهم‌نامه حل‌اختلاف پیش‌بینی شده است به نحو مقتضی حضور به هم خواهد رساند. رکن حل‌اختلاف می‌تواند رئیس خود را انتخاب نماید و قواعد آیین‌کاری را که برای انجام این مسئولیت‌ها لازم تشخیص می‌دهد، تعیین کند.
۴- شورای عمومی برای ایفای مسئولیت‌های رکن بررسی خط مشی تجاری که در سازوکار بررسی خط مشی تجاری پیش‌بینی شده است، به نحو مقتضی حضور به هم خواهد رساند.
رکن بررسی خط‌مشی تجاری می‌تواند رئیس خود را انتخاب نماید و قواعد آیین‌کاری را که برای انجام این مسئولیت‌ها لازم تشخیص می‌دهد، تعیین کند.
۵- شورایی برای تجارت کالا، شورایی برای تجارت خدمات و شورایی برای جنبه‌های مرتبط با تجارت حقوق مالکیت فکری(که از این پس به عنوان TRIPS خوانده می‌شود)، وجود خواهند داشت که با هدایت کلی شورای عمومی فعالیت خواهند کرد. شورای تجارت کالا بر کارکرد موافقت‌نامه‌های تجاری چند جانبه مذکور در ضمیمه ۱(الف) نظارت خواهد کرد. شورای تجارت خدمات بر کارکرد موافقت‌نامه عمومی راجع به تجارت خدمات (که از این پس به عنوان "GATS" خوانده می‌شود)، نظارت خواهد کرد. شورای جنبه‌های مرتبط با تجارت حقوق مالکیت‌فکری بر کارکرد موافقت‌نامه راجع به جنبه‌های مرتبط با تجارت حقوق مالکیت‌فکری (که از این پس به عنوان موافقت‌نامهTRIPS خوانده می‌شود)، نظارت خواهد کرد. این شوراها وظایفی را که موافقت‌نامه‌های مربوط و شورای عمومی به آن‌ها محول می‌کنند، انجام خواهند داد. آن‌ها قواعد آیین‌کار مربوط به خود را با تصویب شورای عمومی تعیین خواهند کرد. عضویت در این شورا برای نمایندگان همه اعضا آزاد خواهد بود. این شوراها در صورت لزوم برای انجام وظایفشان تشکیل جلسه خواهند داد.
۶- شورای تجارت کالا، شورای تجارت خدمات و شورای جنبه‌های مرتبط با تجارت حقوق مالکیت فکری در صورت لزوم ارکان فرعی تاسیس خواهند کرد. ارکان فرعی قواعد آیین‌کار مربوط به خود را با تصویب شوراهای مربوط به آن‌ها، تعیین خواهند کرد.
۷- کنفرانس وزیران،«کمیته تجارت و توسعه»، «کمیته محدودیت‌های تراز پرداخت‌ها» و «کمیته بودجه، مالی و اداری» را تاسیس خواهد کرد که وظایف محوله به‌موجب موافقت‌نامه حاضر و موافقت‌نامه‌های تجاری چندجانبه و هرگونه وظایف دیگری را که شورای عمومی به آن‌ها محول کند، انجام خواهند داد، و [کنفرانس وزیران] می‌تواند کمیته‌های دیگری را با این وظایف که ممکن است مقتضی تشخیص دهد، تاسیس کند. کمیته تجارت و توسعه به عنوان بخشی از وظایفش، هرچند گاه یکبار مقررات خاص مذکور در موافقت‌نامه‌های تجاری چند جانبه را به نفع کشورهای عضو در کمترین درجه توسعه‌یافتگی بررسی خواهد کرد و جهت اقدام مقتضی به شورای عمومی گزارش خواهد داد. عضویت در این کمیته‌ها برای نمایندگان همه اعضا آزاد خواهد بود.
۸- ارکان پیش‌بینی شده در موافقت‌نامه‌های تجاری میان چند طرف[بدون الزام عضویت همه اعضای گات] وظایف محوله به موجب این موافقت‌نامه را انجام داده و در چارچوب تشکیلاتی سازمان جهانی تجارت فعالیت خواهند کرد. این ارکان به طور مرتب شورای عمومی را از فعالیت‌های خود آگاه خواهند نمود.
۱.There shall be a Ministerial Conference composed of representatives of all the Members, which shall meet at least once every two years. The Ministerial Conference shall carry out the functions of the WTO and take actions necessary to this effect. The Ministerial Conference shall have the authority to take decisions on all matters under any of the Multilateral Trade Agreements, if so requested by a Member, in accordance with the specific requirements for decision-making in this Agreement and in the relevant Multilateral Trade Agreement.
۲.There shall be a General Council composed of representatives of all the Members, which shall meet as appropriate. In the intervals between meetings of the Ministerial Conference, its functions shall be conducted by the General Council. The General Council shall also carry out the functions assigned to it by this Agreement. The General Council shall establish its rules of procedure and approve the rules of procedure for the Committees provided for in paragraph ۷.
۳.The General Council shall convene as appropriate to discharge the responsibilities of the Dispute Settlement Body provided for in the Dispute Settlement Understanding. The Dispute Settlement Body may have its own chairman and shall establish such rules of procedure as it deems necessary for the fulfilment of those responsibilities.
۴.The General Council shall convene as appropriate to discharge the responsibilities of the Trade Policy Review Body provided for in the TPRM. The Trade Policy Review Body may have its own chairman and shall establish such rules of procedure as it deems necessary for the fulfilment of those responsibilities.
۵.There shall be a Council for Trade in Goods, a Council for Trade in Services and a Council for Trade-Related Aspects of Intellectual Property Rights (hereinafter referred to as the "Council for TRIPS"), which shall operate under the general guidance of the General Council. The Council for Trade in Goods shall oversee the functioning of the Multilateral Trade Agreements in Annex ۱A. The Council for Trade in Services shall oversee the functioning of the General Agreement on Trade in Services (hereinafter referred to as "GATS"). The Council for TRIPS shall oversee the functioning of the Agreement on Trade-Related Aspects of Intellectual Property Rights (hereinafter referred to as the "Agreement on TRIPS"). These Councils shall carry out the functions assigned to them by their respective agreements and by the General Council. They shall establish their respective rules of procedure subject to the approval of the General Council. Membership in these Councils shall be open to representatives of all Members. These Councils shall meet as necessary to carry out their functions.
۶.The Council for Trade in Goods, the Council for Trade in Services and the Council for TRIPS shall establish subsidiary bodies as required. These subsidiary bodies shall establish their respective rules of procedure subject to the approval of their respective Councils.
۷.The Ministerial Conference shall establish a Committee on Trade and Development, a Committee on Balance-of-Payments Restrictions and a Committee on Budget, Finance and Administration, which shall carry out the functions assigned to them by this Agreement and by the Multilateral Trade Agreements, and any additional functions assigned to them by the General Council, and may establish such additional Committees with such functions as it may deem appropriate. As part of its functions, the Committee on Trade and Development shall periodically review the special provisions in the Multilateral Trade Agreements in favour of the least-developed country Members and report to the General Council for appropriate action. Membership in these Committees shall be open to representatives of all Members.
۸.The bodies provided for under the Plurilateral Trade Agreements shall carry out the functions assigned to them under those Agreements and shall operate within the institutional framework of the WTO. These bodies shall keep the General Council informed of their activities on a regular basis.
